Brief Overview:
We are seeking a dynamic and highly skilled Legal Counsel to join our team. This role is integral to our company's growth and involves supporting a range of legal functions, with a primary focus on commercial contracting. The role involves collaborating closely with various internal teams, such as Legal, Procurement, Finance, Human Resources, Sales, and Operations. The ideal candidate will be adept at (i) drafting, reviewing, and negotiating a broad variety of contracts to ensure compliance with legal and regulatory requirements while safeguarding the companys interests; (ii) navigating the complex regulatory landscape of the healthcare technology sector; and (iii) providing general legal support across various practice areas, including commercial litigation and disputes and employment law. Your ability to thrive in a fast-paced environment, coupled with strong analytical and organizational skills, will be essential to your success in this role.
Core Responsibilities:
- Draft, review, negotiate, and serve as Legal point of contact to the business for time sensitive commercial transactions to meet business goals and minimize risk, with both international and US-based customers, partners, and vendors, with a focus on SaaS licensing agreements.
- Support the Head of Legal in matters relating to commercial litigation and disputes, employment, privacy and data protection matters, regulatory and compliance as needed.
- Assist with corporate governance, insurance, risk management, and special projects as needed.
- Collaborate with cross functional teams to ensure proper processes and approvals are obtained for key terms in commercial agreements; participate in deal desk review of non-standard terms; build and maintain strong relationships with key stakeholders and ensure that their needs and commitments are correctly reflected in commercial documents.
- Provide legal support for customer RFI/RFP responses.
- Develop and maintain in-depth knowledge of Amwells product and services offerings.
- Engage all levels of the business as a legal subject matter expert and influencer towards organisational needs and interests.

Qualifications:
- J.D. degree from an ABA-approved law school, and a current license within a US state
- Previous experience negotiating and drafting software and SaaS agreements preferred; previous experience in health care preferred.
- Minimum of five years of practice and in-house experience preferred
- Demonstrated drive to execute and deliver optimal results for the business in a dynamic, high-growth, entrepreneurial environment.
- Confidence and comfort in ambiguous situations and analysis.
- Strong business and legal mindset, with an ability to identify important legal issues and explain them succinctly to non-lawyers.
- The ability to work independently with little oversight and to effectively influence and advise at all levels of an organisation.
- Organised and detail oriented.
- Excellent written and verbal communication skills.
- Skills to manage multiple projects at a time in a fast-paced and dynamic environment.

The typical base salary range for this position is $132000- $148,000. The actual salary offer will ultimately depend on multiple factors including, but not limited to, knowledge, skills, relevant education, experience, complexity or specialization of talent, and other objective factors. In addition to base salary, this role may be eligible for an annual bonus based on a combination of company performance and employee performance. Long-term incentive and short-term variable compensation may be offered as part of the compensation package dependent on the role. Some roles may be commission based, in which case the total compensation will be based on a commission and the above range may not be an accurate representation of total compensation.
