Job Description

Informa TechTarget is seeking a Paralegal to join the Companys Legal Department, to support the Legal, Corporate Secretarial, and Privacy Teams. Reporting to the VP, General Counsel and Corporate Secretary, you will be (i)supporting US and International corporate governance functions, managing subsidiary entities and records, and ensuring coordination of legal processes, (ii) working with internal and external resources to manage entity documentation and registrations, ensure compliance, and handle critical legal and administrative tasks; and (iii) supporting the contract management, sales, and customer success teams with vendor and customer contract review, negotiation, administration, and other support functions. The Paralegal will work with other key business partners and stakeholders and provide support to attorneys and other paralegals as needed. The is a hybrid working model with 3 days in the Newton, MA Office.

Essential functions :

  • Maintain corporate records, prepare subsidiary reports, assist with filings as required (including annual reports, name changes, formations, withdrawals, dissolutions, etc.)
  • Draft consents, secretary/officer certificates, and other entity documentation
  • Coordinate with local directors and officers and manage service providers, including registered agents, subsidiary support service providers, and auditors
  • Draft, review, negotiate, and approve Non-Disclosure Agreements, Purchase Orders, Insertion Orders, and Statements of Work to support sale of media and related products;
  • Assist in the support, administration and project management of the Companys contract lifecycle management tool and contract review processes
  • Interface and collaborate with various business units and leaders at all levels of the organization, including Legal, Finance, Sales, IT, and Human Resources, as well as with external representatives and parties as needed
  • Assist the Legal and Privacy team with global privacy matters, including supporting privacy records management and documentation
  • Assist with special projects as needed or additional responsibilities as assigned.
Qualifications
  • Bachelor's degree from an accredited school and paralegal certificate from an ABA-approved program preferred;
  • 4+ years of experience as a paralegal, preferably in a corporate legal department supporting various legal and governance functions;
  • Strong understanding of corporate governance principles, subsidiary management, and best practices;
  • Understanding of contracts management and commercial contracts review/support including experience working with IronClad or other CLMs;
  • Excellent communication skills and ability to interact with diverse groups across the organization;
  • Ability to work both independently and as a team member under tight deadlines, carry out multiple related activities simultaneously, proactively identify issues and provide strategic advice;
  • Ability to efficiently and effectively manage complex and high-profile issues and competing priorities;
  • Strong organizational skills and attention to detail;
  • Proficiency in Microsoft Office Suites; and
  • Massachusetts Notary Public certification or willingness to obtain a certification preferred.

The range for this position is $65,000 $75,000 based on experience.
