Position Overview:

As a Paralegal at JGPC, you will work with our attorneys to engage new clients and provide all legal services required by our clientele.This is an excellent opportunity for someone who thrives in collaborative environment and is passionate about helping businesses succeed. If interested, this Paralegal could move into a law firm management role.

General Responsibilities:

We are seeking an experienced and detail-oriented Corporate Paralegal to join our legal team. The ideal candidate will have a strong background in corporate and business entity law, including entity formation, governance, corporate maintenance, and transactional support. You will work closely with attorneys and clients to ensure timely and accurate execution of corporate legal matters.

Specific Responsibilities

  • To maintain a presence at our reception desk and answer and forward phone calls
  • Prepare and file documents for business entity formations, dissolutions, foreign qualifications, mergers, conversions, securities filings, and annual reports.
  • Maintain and update corporate digital files, minute books, cap tables, stock ledgers, and organizational charts.
  • Draft and review board resolutions, consents, bylaws, and operating agreements.
  • Support mergers, acquisitions, financings, and other transactions:
  • File and monitor UCC financing statements and assist with secured transactions.
  • Assist attorneys in preparing legal documents, correspondence, and legal research as needed.
  • Manage deadlines, calendars, and communications with clients and external parties

Qualifications:

  • 2+ years of experience as a corporate paralegal.  If you have a good basic working knowledge of what it means to be a corporate paralegal, we can teach you the rest.
  • Ability to work in the office nearly every day
  • Strong understanding of business entity structures, and related formation and maintenance procedures
  • Paralegal certification or equivalent experience
  • Excellent organizational, research, and communication skills
  • Proficiency with legal software and Microsoft Office Suite
  • Detail-oriented, proactive, and able to manage multiple priorities effectively
