Interim Corporate Counsel

Major, Lindsey & Africas Interim Legal Talent group has an immediate need for an Interim Corporate Counsel.
Overview : Our client seeks an Interim Corporate Counsel for a four-month assignment.
Company: Our client is a clinical stage life sciences organization.
Experience: Five or more years experience advising life sciences clients on securities filings and drafting commercial agreements.
Location: Hybrid; Two days per week in the Clients Kendall Square offices.
Responsibilities Include:

• Prepare and file the Clients Form 10-Q (due in May and August)
• Assist with the preparation of the Clients Form 10-K.
• Review, negotiate, and draft commercial agreements, including confidential disclosure agreements.
• Conduct legal research as necessary.

• Excellent academic credentials including a law degree from a well-respected, national law school.
• Five or more years experience advising life sciences clients on corporate and securities issues acquired in a top law firm and/or in-house experience at a life sciences organization.
• Experience with and command of issues associated with drafting and filing 10-Ks and 10-Qs.
• Experience drafting and negotiating commercial agreements, namely CDAs.
