Job Description
Corporate Paralegal Specialist responsibilities include, but are not limited to, the following:
- Prepare, process and format general corporate documents and papers including Articles of Incorporation and amendments, Bylaws and amendments, Organizational and ongoing minutes of shareholders and directors authorizing corporate actions, Federal and state tax identification number applications, Certificates of Assumed Name and Reservation of Name and Annual reports
- Review draft agreements and other documents and make suggestions and recommendations in accordance with directions from legal counsel
- Prepare and file forms with government agencies for the purpose of obtaining information for corporations, partnerships, and/or limited liability companies
- Update and maintain US legal organizational chart and the company's corporate dataroom and database
- Perform routine administrative tasks including filing, corresponding with internal and external clients, maintaining log notes, photocopying, faxing, and scanning documents
- Provide executive administrative support and handle confidential correspondence and exercise a high degree of discretion and initiative
- Maintain secure scanned electronic copies of all contracts and control access to authorized individuals
- Maintain insurance records; liase with insurance carriers as needed and request and route insurance certificates
- Work with senior management, Risk Management Department, and legal counsel to resolve issues related to contracts
- Assist with mergers and acquisitions including but not limited to asset purchase sales, stock purchase, reverse mergers.
- Assist in responding to subpoenas Prepare litigation hold memos and Track and report on pending claims.
- Conduct special projects as directed
Qualifications
The ideal candidate would possess:
- Strong computer and organizational skills
- Experience with SharePoint
- Excellent communication (oral and written) skills
- Attention to detail
- Ability to work independently and as part of a team, self-motivation, adaptability, and a positive attitude
- Ability to learn new techniques, perform multiple tasks simultaneously, keep accurate records, follow instructions, and comply with company policies
- Proficiency with Microsoft Office, advanced Excel, Powerpoint, and Internet research
- Solid understanding and demonstration of client confidentiality
- Ability to adapt to changes in the work environment, manage competing demands and deadlines, and deal with frequent change, delays, or unexpected events
- Critical thinking skills, using logic and reasoning to identify the strengths and weakness of alternative solutions, conclusions, or approaches to problems
Basic Minimum Qualifications:
- Associate degree and at minimum two years related experience, or equivalent combination of education and experience. Paralegal degree preferred
- Authorization to work in the United States indefinitely without restriction or sponsorship
Additional Information
Position is full-time, Monday-Friday, 8 a.m.-5 p.m., with overtime as needed. Candidates currently living within a commutable distance of Lancaster, Pennsylvania are encouraged to apply.
