What Sr. Paralegal contributes to Cardinal Health
Legal provides the company with strategic, proactive, practical and cost-effective legal advice and services in order to protect the organization's assets, operations and image. This role will be part of Cardinal Healths corporate legal team, focusing on a variety of areas, including credit, commercial collections, commercial bankruptcy, and general corporate matters, such as M&A, internal transactions, real estate, and securities and disclosure. Under the direction of the organizations attorneys, this role will be responsible for drafting a variety of documentation in the credit, commercial collections and commercial bankruptcy spaces. This role will engage directly with internal stakeholders to manage a high-volume portfolio of credit-related matters and assist in the management of commercial collections and commercial bankruptcy portfolios handled by outside counsel. Additionally, this role will support certain transactional functions, including internal entity reorganizations, real estate, cash movement initiatives, etc., as well as external transactions, including mergers & acquisitions.
Responsibilities
Prepares commercial collections-related documentation, including demand letters and workout agreements;
Drafts various transactional documents such as guaranties, security agreements, subordination agreements, non-disclosure agreements, and promissory notes;
Tracks and coordinates status of internal collections and bankruptcy matters, and assists in the case management of collections and bankruptcy cases handled by outside counsel;
Works with key stakeholders to prepare preference defense analyses and proofs of claim filings in bankruptcy proceedings;
Prepares litigation holds and collaborates on discovery matters with Cardinal Healths e-Discovery team;
Drafts documents for or coordinates with external service providers in connection with certain internal transactions, including international legal entity reorganizations;
Entity formation and associated internal resolutions and documentation;
Assisting in the preparation of certain regulatory filings, including document collection;
Preparing and revising non-disclosure agreements;
Project management associated with integration of acquisitions;
Assists with ad hoc projects as needed, including document review and business process improvements;
Opportunity to assist in other areas of Legal, such as real estate, securities, and corporate governance.
Qualifications
2-5 years of relevant experience in commercial collections, commercial bankruptcy strongly preferred
BA, BS or equivalent experience in related field preferred
Must be a quick learner and possess excellent written, oral, and presentation skills
Intermediate-to-Advanced Microsoft Office skills, particularly in MS Word and Excel

Anticipated salary range: $79,300 - $113,800
